End User License Agreement (EULA)

1. Definitions

1.1. "Fonts": Font software including all associated files, data, and documentation provided under this license. The type design of the fonts—i.e., the design of the glyphs, letters, numbers, symbols, and other typographic elements—is protected by copyright and is considered a work under German copyright law.

1.2. "Licensor": Sergej Lebedev - Typedesigner.de, the holder of all rights to the Fonts and the type design.

1.3. "Licensee": The natural or legal person who acquires and uses the Fonts under the terms of this EULA.

1.4. "Authorized Users": Employees of the Licensee who are authorized to use the Fonts with the Licensee’s consent.

1.5. "Third Parties": Persons without usage rights (e.g., end users of documents or apps).

1.6. "License": The usage right granted under this EULA.

1.7. "Use": Any form of installation, embedding, display, or processing of the Fonts, regardless of the platform or medium.

1.8. "Commercial Electronic Document": A commercially distributed electronic document (e.g., eBook).

1.9. "Application" / "App": Standalone software application (e.g., iOS/Android) utilizing the Fonts.

1.10. "Digital Publications": eBooks or other non-executable files.

1.11. "Social Media Channels": Platforms such as Instagram, YouTube, TikTok.

2. License Grant

2.1. The Licensor grants the Licensee a non-exclusive, non-transferable, worldwide license to use the Fonts in accordance with the terms of this EULA.

2.2. The license is unlimited in duration and territory and covers both private and commercial use.

2.3. All rights to the Fonts and the type design remain with the Licensor. No ownership rights are transferred.

2.4. The license becomes effective upon downloading, installing, or using the Fonts for the first time.

3. Restrictions on Use

3.1. The Licensee may not sublicense, sell, rent, or otherwise transfer the Fonts without explicit written permission from the Licensor.

3.2. The Licensee may not modify, decompile, disassemble, or create derivative works based on the Fonts.

3.3. Subsetting of web fonts is permitted, provided that the legal and licensing terms are adhered to.

3.4. The use of the Fonts in open-source software that would make the Fonts freely available to third parties is prohibited.

3.5. The Fonts may not be used in a way that would make the Fonts the primary value of any software or service.

4. License Types and Conditions

4.1. Desktop License

4.1.1. The Fonts may be used by a set number of users (not devices).

4.1.2. External service providers require their own license.

4.1.3. Print service providers may receive completed documents but may not process or distribute the font files.

4.1.4. Editable embedding of Fonts is only permitted with the Licensor’s written consent.

4.2. Web License

4.2.1. The Fonts may be used via CSS @font-face with WOFF2 files.

4.2.2. The license is based on the number of page views per month.

4.2.3. The Licensee is responsible for documenting page views and implementing measures to prevent unauthorized usage.

4.3. App License

4.3.1. Each app that uses the Fonts requires a separate license.

4.3.2. The license is based on the number of app downloads or installations.

4.3.3. The Fonts may not be the primary value of the app.

4.3.4. Use in authoring tools or server-based environments is not permitted.

4.4. Electronic Document License

4.4.1. The Fonts may be embedded in commercially distributed digital publications (e.g., eBooks).

4.4.2. Recurring publications are considered as a single title for licensing purposes.

4.4.3. Fonts must be embedded in an encrypted or obfuscated format to prevent unauthorized extraction.

4.5. Social Media License

4.5.1. The Fonts may be used in posts on social media platforms.

4.5.2. The license is based on the Licensee’s highest follower count.

4.5.3. Use of the Fonts in video or audio content is subject to the terms of the "Audio-Visual License."

4.6. Trial License

4.6.1. The Licensee may use a trial version of the Fonts with a reduced character set.

4.6.2. The trial version may only be used for internal evaluation purposes and not for commercial use.

4.7. Logo License

4.7.1. A separate license is required for the use of the Fonts in logos, wordmarks, or pictorial marks.

4.8. Enterprise License

4.8.1. Large customers will receive a customized license agreement with an extended scope of usage.

5. Embedding and Security

5.1. The Fonts must be embedded in a manner that prevents unauthorized extraction or misuse.

5.2. The Licensee is obligated to take reasonable security measures to protect the Fonts, particularly when used on online platforms or in digital publications.

6. Term and Termination

6.1. The license is indefinite unless terminated by either the Licensor or the Licensee in accordance with this EULA.

6.2. Upon termination or expiration of the license, the Licensee must destroy all copies of the Fonts and cease using them.

6.3. Termination for breach: Immediate termination of the license, with an obligation to delete all copies of the Fonts.

7. Disclaimer of Warranty and Limitation of Liability

7.1. The Fonts are provided "as is." The Licensor makes no representations or warranties regarding the functionality of the Fonts, including but not limited to their fitness for a particular purpose or freedom from defects.

7.2. The Licensor’s liability is limited to the total amount of the license fee paid by the Licensee. Any further liability, including for lost profits, indirect or consequential damages, is excluded.

7.3. The Licensor is not liable for damages arising from:

  • 7.3.1. Improper installation or use
  • 7.3.2. Incompatible systems or software environments
  • 7.3.3. Interference by third parties (e.g., hacking, unauthorized use)
  • 7.3.4. Modifications made by the Licensee or third parties

7.4. The Licensor is not liable for data loss arising from the use of the Fonts.

7.5. Force Majeure: The Licensor is not liable for damages caused by events beyond its control, such as natural disasters, war, government actions, power failures, or network outages.

7.6. Statutory liability remains unaffected where mandatory laws provide for it, such as in cases of intentional misconduct, gross negligence, or harm to life, body, or health.

8. Governing Law and Jurisdiction

8.1. This agreement is governed by German law.

8.2. The competent court for any disputes arising under this EULA shall be the Licensor’s registered office.

8.3. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.

9. Severability Clause

9.1. If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be replaced by a valid provision that reflects the economic intent as closely as possible.

10. Entire Agreement

10.1. This EULA replaces all prior agreements and understandings between the parties. Any amendments must be made in writing.
